1. Purpose
These Terms govern the rights, obligations, and responsibilities between sori. enc Inc. ("Company") and users in connection with the use of the AI-MIDI service ("Service").
2. Definitions

"User" means any person who agrees to these Terms and uses the Service.

"Input" means any music file, audio file, vocal file, stem file, or other material uploaded or submitted by the User to the Service.

"Output" means any MIDI file, audio file, analysis result, preview file, or other output generated, converted, stored, or returned through the Service.
3. Service
The Company provides services that analyze, convert, generate, store, and make available Inputs and Outputs for viewing and download. The Terms of Use, Privacy Notice, and Training Data Use Agreement are each required to use Web Transcription. The Company may modify, restrict, suspend, or discontinue all or part of the Service where necessary for operational, technical, or legal reasons.
4. Processing of Inputs and Outputs

For the AI-MIDI Transcription service, the User agrees that the Company may store, reproduce, encode, convert, analyze, transmit, display, back up, and otherwise process Inputs and Outputs as necessary to provide and operate the Service.

Training, evaluation, and improvement processing of Web Transcription Inputs and Outputs is governed by the separate Training Data Use Agreement.

Audio and generated files submitted through the AI-MIDI API are not used for training and are deleted within 24 hours. Only records needed for job status, usage and credit accounting, billing, security, error response, and legal obligations may be retained.
5. Rights in Inputs and Outputs

The User retains rights in the User's Inputs, and the Company does not acquire ownership of Inputs merely because they are uploaded or submitted to the Service.

All use of Outputs, including downloading, storage, editing, publication, distribution, commercial use, and provision to third parties, and all resulting responsibility rests with the User.

The User bears all disputes and responsibility concerning copyright, neighboring rights, personal information, privacy, and other third-party rights in connection with Inputs and Outputs.

All rights in and to the Service, software, models, algorithms, interfaces, and technical improvements arising from the operation of the Service belong to the Company or its lawful licensors.
6. User Responsibility

If an Input contains personal information, the User must have a lawful basis and all rights and permissions necessary to submit and process that information through the Service. The User must not submit personal information that the User is not authorized to provide.

If any third-party rights issue, dispute, claim, or damage arises from the User's Inputs, use of the Service, or use of Outputs, the User shall resolve the matter at the User's own responsibility and expense to the extent permitted by applicable law.
7. Prohibited Conduct
The User shall not:

infringe any copyright, neighboring right, publicity right, portrait right, voice-related right, or other right of any third party;

upload, generate, transmit, or distribute unlawful or inappropriate content;
3
reverse engineer, bypass, interfere with, or abuse the Service or its systems;
4
circumvent preview, payment, or credit restrictions; use multiple accounts, automation, bots, scripts, or abnormal methods to abuse the Service; generate excessive traffic; or disrupt normal operation;
5
use Outputs for unlawful or improper purposes.
8. Storage, Backup, and Data Loss

The User bears the primary responsibility for backing up Inputs and Outputs.

The Company implements reasonable security and stability measures, but is not liable for damage, partial loss, or loss of Inputs or Outputs caused by system failures, network failures, third-party service failures, or causes beyond the Company's reasonable control, except where caused by the Company's willful misconduct or gross negligence.

When account deletion is completed, operational Web Transcription Inputs and Outputs are deleted and can no longer be downloaded or restored. Backup copies are isolated from operational systems and automatically deleted within no more than 30 days. The User remains responsible for copies downloaded before withdrawal.

AI-MIDI API audio and generated files are temporary processing artifacts and are deleted within 24 hours. The User should store any API Output that the User wishes to keep. Only records necessary for API operation, usage and credit accounting, billing, security, error response, and legal obligations are retained.
9. Paid Services

All or part of the Service is offered on a paid or subscription basis. Paid Transcription usage is measured at the same rate for every paid plan and purchased Transcription credit pack: one credit for each begun five-second block of source audio, with a minimum charge of 12 credits (60 seconds) per job when a full result is unlocked or downloaded. A monthly Transcription subscription currently includes 720 credits on Basic ($9.99, up to roughly 60 minutes), 1,800 credits on Standard ($19.99, up to roughly 150 minutes), or 4,320 credits on Premium ($39.99, up to roughly 360 minutes). Purchased Transcription credit packs and AI-MIDI API credit packs are currently offered as separate one-time entitlements using the same catalog: 540 credits for $9.99 (up to 45 minutes), 1,680 credits for $29.99 (up to 140 minutes), or 5,760 credits for $99.99 (up to 480 minutes). Current prices, plan allowances, pack amounts, deduction rates, and minimum charges appear in the Service interface and Legal Notice, may change, and the values shown at the time of purchase control.

Refund eligibility is evaluated per Paddle transaction. All products or pack quantities purchased in one transaction are treated as one payment. Each initial subscription payment and each renewal transaction is evaluated as a separate payment. Under the Company's standard refund policy, a full refund is available only when requested within 14 calendar days of payment and no paid credit granted by that payment has been finally consumed. The 14-day period is determined by when the Company first receives the refund request, not when an in-progress credit hold resolves or when the refund is processed. If even one paid credit from that payment is finally consumed, the entire payment is non-refundable regardless of the remaining balance, and partial refunds are not offered.

Confirmed use is determined by product as follows. For a Transcription subscription, the initial payment and each renewal are separate payments, and the entire payment becomes non-refundable when even one monthly Transcription credit issued for that billing period is finally consumed to unlock or first download a full result. For purchased Transcription credits, all credit-pack quantities bought in one Paddle transaction are one payment, and the entire transaction becomes non-refundable when even one purchased Transcription credit issued by that transaction is finally consumed to unlock or first download a full result. For API credits, all API credit-pack quantities bought in one Paddle transaction are one payment, and if even one API credit issued by that transaction is finally consumed by a successful API job, the entire transaction is non-refundable regardless of the remaining balance, and partial refunds are not offered.

Free previews, jobs rejected before processing, system-failed jobs whose held credits are returned, released reservations, network retries that do not create another charge, and re-downloads of the same result do not by themselves count as confirmed or additional paid use. Held credits are not final consumption. If a refund request is received within the 14-day period while credits are held, the request remains timely while the hold resolves. The refund proceeds if the held credits are returned and no credit has been finally consumed; if the hold becomes final consumption, the payment is non-refundable. Jobs that fail without consuming credit do not count as paid service use. Subscription cancellation stops the next renewal but does not refund the current payment; paid access continues through the current billing period unless a full refund is issued. Monthly credits included with a Transcription subscription are distinct from purchased Transcription credits, reset and expire at the end of each billing period, and do not roll over. Purchased Transcription credits and API credits are separate entitlements, may each be purchased and used without an active subscription, and expire 12 calendar months after purchase. Within each separate credit wallet, eligible credits with the earliest expiration date are used first. Credits are not transferable and cannot be exchanged for cash.

Duplicate or incorrect charges and refund rights required by applicable law take precedence where they provide broader rights.
10. Account Withdrawal

An account without an active paid subscription is deleted immediately when withdrawal is completed. A User with an active paid subscription must first schedule subscription cancellation through the billing provider; account deletion is then scheduled for the end of the current paid period.

Cancelling a pending account-deletion request cancels only the account deletion. It does not revoke the separately scheduled subscription cancellation. If the subscription cancellation schedule is removed, the pending account-deletion request is cancelled.

Completed account deletion is permanent and cannot be reversed. Account identity, profile, authentication data, sessions, API keys, remaining credits, and account entitlements are removed and are not restored or transferred. Registering again with the same email creates a new account.

Operational Web Transcription Inputs and Outputs are deleted when account deletion is completed. Copies anonymized and incorporated into a training dataset before withdrawal may continue to be used for training, evaluation, and improvement of new models. The Company does not guarantee deletion of the data's influence from an already trained model, rollback of a model, or retraining. Payment, transaction, dispute, and legally required records may be retained separately only for the required period.
11. Limitation of Liability
The Company does not guarantee the quality, accuracy, completeness, or fitness of Outputs. Because results vary by model selection and Input quality, the User should choose the appropriate model, use clean audio, and review preview quality before unlocking, downloading, or otherwise using an Output. To the extent permitted by law, the Company is not liable for indirect, special, consequential, data-loss, or business-related damages, except where caused by the Company's willful misconduct or gross negligence.
12. Personal Information and Content Data

The Company generally treats Inputs and Outputs as Content Data.

Inputs and Outputs may contain personal information, including voice, lyrics, tags, or other identifying details. The Company processes that personal information as described in the Privacy Policy.

Matters relating to personal information are governed by the separate Privacy Policy or related notices.
